Terms of Use

These Terms of Use (“Terms”) govern access to and use of materials, reports, data, and content provided by AgFlow Intelligence (“AgFlow,” “we,” “us,” or “our”).

By accessing, subscribing to, or using AgFlow Intelligence materials, you (“User”) acknowledge and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use AgFlow Intelligence materials.

1. Purpose and Scope of Use
AgFlow Intelligence provides governance-grade decision intelligence intended to support internal review, oversight, and disciplined commercial decision processes.

All materials are provided for informational and governance support purposes only.

AgFlow Intelligence does not provide:
- investment, trading, or hedging advice
- trade recommendations, signals, or execution directives
- brokerage, advisory, or agency services

Nothing contained in AgFlow Intelligence materials should be construed as a solicitation, recommendation, or inducement to enter into any transaction.

2. License Grant and Permitted Use
Subject to these Terms and any applicable subscription agreement, AgFlow grants the User a limited, non-exclusive, non-transferable, revocable license to access and use licensed materials for internal purposes only, consistent with the scope of the applicable license.

Permitted use includes:
- Internal review and governance discussions
- Risk assessment and oversight support
- Internal documentation and committee review

Prohibited use includes:
- Redistribution, resale, or sublicensing
- External publication or public dissemination
- Use as a substitute for professional judgment or internal controls
- Use in automated trading, execution systems, or signal generation

3. User Responsibilities
Users are solely responsible for:
- Determining the appropriateness of any information for their specific use
- Applying materials within their own governance, compliance, and approval frameworks
- Ensuring compliance with applicable laws, regulations, and internal policies

AgFlow Intelligence materials do not replace internal risk management, compliance, or decision authority.

4. Data Sources and Methodology
AgFlow Intelligence relies on publicly available, authoritative data sources and documented analytical methodologies.

Data may be subject to:
- Reporting delays
- Revisions by originating agencies
- Methodological limitations

AgFlow does not guarantee completeness, timeliness, or accuracy of any data and makes no representation that materials are free from error.

5. No Warranties
AgFlow Intelligence materials are provided “as is” and “as available.”

To the fullest extent permitted by law, AgFlow disclaims all warranties, express or implied, including but not limited to:
- Accuracy or completeness
- Fitness for a particular purpose
- Non-infringement
- Results obtained from use of the materials

6. Limitation of Liability
To the maximum extent permitted by law, AgFlow Intelligence shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of, or inability to use, AgFlow materials.

This includes, without limitation, losses related to:
-Commercial decisionsHedging or trading outcomes
- Missed opportunities
- Data errors or omissions

7. Independence and Conflicts
AgFlow Intelligence maintains analytical independence and does not receive compensation tied to:
- Market direction
- Transaction volume
- Execution outcomes

No fiduciary, advisory, or agency relationship is created by use of AgFlow Intelligence materials.

8. Intellectual Property
All content, methodologies, frameworks, text, graphics, and reports are the intellectual property of AgFlow Intelligence or its licensors and are protected by applicable intellectual property laws.

Unauthorized use, reproduction, or distribution is strictly prohibited.

9. Termination
AgFlow Intelligence reserves the right to suspend or terminate access at any time for violation of these Terms or applicable license conditions.

Upon termination, all rights granted to the User immediately cease.

10. Modifications to Terms
AgFlow Intelligence may update these Terms from time to time. Continued use of materials following any update constitutes acceptance of the revised Terms.

11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict-of-law principles.
